Terms
Not terms of service yet. What follows is the list of things the drafted terms have to answer — including the promises already made in public on the rest of this site, which they have to match rather than quietly narrow.

These terms would govern paid engagements across several jurisdictions, so they get written and reviewed by someone qualified to write them. Downloaded boilerplate would quietly contradict commitments already made in public on this site, and a contract that contradicts your own marketing is worse than no page at all.
In the meantime, every engagement runs on a written scope and a quoted price agreed before any work starts. If you want to see that paperwork before you book anything, ask and we will send it.
What the terms have to cover.
A checklist for whoever drafts it. None of the wording below is legal text, and none of it is in force.
- Who the agreement is between Pointerflow LLC, registered in Wyoming, USA, and the client company — named, not the individual signing.
- What an engagement is The three shapes we sell: the fixed-fee audit, a fixed-scope build, and a monthly retainer. What each one includes, and what counts as a change of scope rather than a favour.
- Fees and payment The audit is $1,500–$3,000, fixed. Builds and retainers are quoted before work starts. Invoicing, currency, terms, and what happens when an invoice goes unpaid.
- The audit credit The site says the audit fee is credited in full against any build started within 90 days of the report. The terms have to make that enforceable, and say what happens on day 91.
- The refund undertaking The site says that if we cannot identify recoverable revenue worth more than the audit fee, the fee is refunded. That needs a definition of “identify”, and a window to claim it in.
- Access, and its limits Read access to Shopify, the ESP, the subscription platform and the helpdesk. The undertaking that nothing is changed during an audit. How access is revoked, and when.
- Ownership of the work The site says every workflow, integration and piece of code lives in the client’s own accounts, documented, and stays theirs if we part ways. The IP clause has to say exactly that, including anything built on top of third-party tooling.
- Confidentiality Both directions. What may be published — teardowns on this site are of brands we have no engagement with, and client work is only ever named with written permission.
- Warranties, and the limits of them What is warranted about the work, and the plain statement that no revenue outcome is guaranteed. Benchmarks quoted on this site are industry figures, never a projection of a specific client’s result.
- Liability The cap, the exclusions, and the things that are never excluded.
- Termination Notice on either side, what happens to work in progress, what is handed over, and what is paid for.
- Governing law Which law governs and where disputes are heard — a US entity working with clients across US, UK, EU, Canada & Australia. This one needs deciding, not defaulting.
- Changes How a revision is published, and whether it applies to engagements already running.
